1. Definitions

• "Service" refers to the legal services offered by Orchid Accord, including contract drafting and review, business registration and compliance, and corporate counsel retainer arrangements.
• "User" means any individual or entity visiting our website or engaging our services.
• "We / Us / Our" refers to Orchid Accord Co., Ltd., registered in Thailand.
• "Content" means all information, text, and materials published on this website.
• "Agreement" means these Terms together with any written engagement letter or service agreement.

2. Acceptance of Terms

By submitting a contact form, entering into a service engagement, or continuing to use this website, you confirm that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of a business entity, you confirm you have authority to bind that entity.

3. Service Description

Orchid Accord provides legal services as described on our website, including contract drafting and review, business registration and compliance guidance, and corporate counsel retainer arrangements. Service availability is subject to our capacity and to the execution of a written engagement agreement.

Our services are currently available to clients with matters governed by or connected to Thai law. We do not accept engagements outside the scope described in the engagement letter.

4. User Responsibilities

You agree to provide accurate and complete information when engaging our services and to notify us promptly of any changes to information you have provided. You agree not to use this website for any unlawful purpose, to distribute malicious software, or to attempt to gain unauthorised access to our systems.

5. Intellectual Property

All content on this website — including text, layout, and design — is the property of Orchid Accord or its licensors and is protected under Thai intellectual property law. You may not reproduce, distribute, or adapt our content without prior written permission, except for personal, non-commercial use.

Documents prepared by Orchid Accord for a specific client engagement are provided for that client's use only. Rights to those documents are governed by the relevant engagement agreement.

6. Payment Terms

Fees are as set out in the written engagement letter for each service. All fees are quoted and payable in Thai Baht (฿). A deposit may be required before work commences. Retainer fees are invoiced monthly in advance. Payment terms are specified in the engagement letter.

Refunds are not available for services already delivered. Where a matter is withdrawn before completion, fees for work already performed remain payable.

7. Service-Specific Terms

Contract Drafting and Review

Scope is limited to the specific document described in the engagement letter. Revisions are limited to one round within the agreed scope unless otherwise agreed in writing.

Business Registration and Compliance

Timelines are estimates and may vary due to Thai government processing times outside our control. We are not responsible for delays attributable to authorities, third parties, or incomplete information provided by the client.

Corporate Counsel Retainer

The retainer is structured as a minimum six-month engagement. Early termination by the client prior to the agreed end date does not entitle the client to a refund of fees paid. Either party may terminate the retainer with 30 days written notice after the initial term.

8. Disclaimers

Services are provided on the basis of information you supply. We cannot accept responsibility for outcomes arising from inaccurate or incomplete instructions.

9. Limitation of Liability

To the extent permitted by Thai law, Orchid Accord's liability for any claim arising from our services is limited to the amount of fees paid by the client for the specific service giving rise to the claim. We are not liable for indirect, consequential, or incidental losses.

10. Indemnification

You agree to indemnify Orchid Accord against any claims, losses, or expenses arising from your breach of these Terms, your misuse of our services, or any inaccuracy in information you have provided to us.

11. Termination

Either party may terminate a service engagement in accordance with the terms of the relevant engagement letter. We reserve the right to terminate access to our website services in cases of material breach of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from or related to these Terms or our services shall first be subject to good faith negotiation. If not resolved within 30 days, disputes shall be submitted to the jurisdiction of the courts of Bangkok, Thailand.

13. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force. Our failure to enforce any right does not constitute a waiver of that right. These Terms, together with the engagement letter, constitute the entire agreement between the parties for the relevant service.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of our website or services after changes are published constitutes acceptance of the updated Terms. The "Last Updated" date at the top of this page indicates when changes were most recently made.
